Terms & Conditions

General Terms and Conditions for Legato Advokat AB’s Services

Version published 15 September 2026

These general terms and conditions apply to all services provided and performed by Legato Advokat AB, reg. no. 559492-4077 (hereinafter referred to as "Legato" or "we" or "us"). By engaging Legato, you are deemed to have accepted these general terms and conditions. An agreement to provide services to which these general terms and conditions apply is deemed to have been entered into when we have accepted your instructions to assist in a matter.

Although we may, in certain cases, provide general information about developments in the legal field — for example, through our website or other means of communication — such information does not constitute legal advice. Such information is either general in nature or linked to a specific situation, and no individual may therefore draw any immediate conclusions as to its applicability to their own situation without further investigation.

These general terms and conditions may be amended from time to time, with the latest version always available on our website, www.legatoadvokat.se. Amendments apply only to engagements commenced after the amended version has been published on the website. The latest valid version of the general terms and conditions can also be provided upon request. If the parties have expressly agreed on special terms in relation to an engagement or part of an engagement, those terms shall take precedence over these general terms and conditions.

The services are performed with due regard to the Swedish Bar Association's Code of Professional Conduct.

Client Due Diligence and Conflicts of Interest

Before accepting an engagement, we are, as a general rule, required by law to obtain information about the client and the engagement to the extent necessary to enable us to manage the risk of money laundering and terrorist financing. If there are suspicions of money laundering or terrorist financing, we are obliged to decline or withdraw from the engagement. We are obliged to report suspicions of money laundering and terrorist financing to the relevant authority, in which case we are prevented from notifying you that such suspicions exist. Under certain circumstances, we are also required by law to provide information to the tax authorities regarding your VAT registration number and the value of the services we have provided to you.

Before accepting an engagement, we are required, under the rules of good professional conduct for lawyers, to check whether a conflict of interest exists in relation to another client. A conflict of interest may also arise during an ongoing engagement due to subsequently occurring circumstances, in which case Legato will act with due regard to the client's interests and in accordance with applicable rules of good professional conduct.

The Services

Legato provides legal advisory services only. We accept instructions from persons whom we have reason to believe are entitled to instruct us on your behalf.

The scope of our services may be further specified in an engagement letter or otherwise agreed with you. To the extent nothing else has been agreed, the engagement is limited to measures that, in our reasonable opinion, have been warranted.

We provide our services solely on the basis of the circumstances, facts, and instructions presented to us in the individual engagement, and we are entitled to assume that these are complete and accurate. The result of our work within the scope of a particular engagement is tailored to the circumstances of that specific matter. You may therefore not rely on particular advice in another context or for a purpose other than that for which it was intended. The results and advice may not be used by anyone other than the client.

The advice we provide to you within the scope of a given engagement is based on the legal position applicable at the time the advice is given. We are not obliged to update our advice to reflect subsequent changes.

Your engagement agreement is entered into with Legato. All individuals performing services on behalf of Legato are covered by these terms and shall not be deemed to have any individual liability in relation to you.

Legato can only advise on the legal position in Sweden. We are therefore unable to provide advice on the legal position in any other jurisdiction. Based on our experience, we may express our assessment of the legal position in other jurisdictions on a common-sense basis. Such comments should not in any way be regarded as advice. Such advice must be obtained from lawyers practicing in the relevant jurisdiction.

Legato never provides advice relating to tax matters, and we are not liable for any damage arising from you being taxed, or risking being taxed, as a consequence of the services we have provided.

Our advice never constitutes a guarantee of a particular outcome.

Duty of Confidentiality and Secrecy

We are bound by professional secrecy and protect the information you provide to us in accordance with law and applicable rules of good professional conduct. In certain cases, however, we have a statutory duty to disclose information that is otherwise subject to professional secrecy. Good professional conduct also permits us to disclose such information with your consent or in connection with a dispute between you and us.

Unless you instruct us otherwise, we may communicate with you by email and other electronic means. Such communication is not fully secure, and we cannot guarantee that it will be free from interception, delay, or error. By engaging Legato, you accept this risk in relation to correspondence and documents transmitted electronically, unless a more secure method of communication has been specifically agreed.

Intellectual Property Rights

All intellectual property rights to the documents and other work product we generate in connection with an engagement belong to us, but you have the right to use the results for the purposes for which they were produced. Unless otherwise specifically agreed, documents and other work product may not be distributed publicly or used for marketing purposes.

Fees, Invoicing, and Payment

Our fees are charged in accordance with principles consistent with good professional conduct and are generally determined based on several factors, such as the time spent, complexity, the expertise, skill, and experience required by the engagement, the value involved in the engagement, time pressure, and the outcome achieved. At your request, and depending on the nature of the engagement, we may also agree in writing on a fixed fee, a fee cap, or other fee arrangement. Otherwise, any fee estimates provided by us are only projections based on experience and are not binding unless specifically stated in writing.

As a general rule, our hourly rates are increased annually, with the change taking effect on 1 January each year.

In addition to our fees, costs for travel and other outlays may be charged.

As a general rule, we invoice work performed on a monthly basis. An invoice may only be issued to our client. Invoices may be either interim (on account) or final. An interim invoice states a reasonable estimate of the amount payable for the services we have performed. In the case of interim invoicing, the final invoice will settle the total fee for the engagement, or part of the engagement, less the fees already invoiced on an interim basis.

In certain cases, we will request an advance payment on account of fees and costs. Amounts paid in advance will then be used to settle future invoices. The total amount for services performed and costs incurred may be higher or lower than the advance amount.

Our invoices are due for payment 30 days from the invoice date. In the event of late payment, default interest is charged from the due date until payment is received, in accordance with the provisions of the Swedish Interest Act (räntelagen).

In disputes, the losing party is normally ordered to pay the winning party's litigation and legal representation costs. Regardless of whether you are the winning or losing party, or whether you are awarded full compensation for litigation costs, you must pay for the services we have performed and the costs we have incurred in connection with representing you in court or arbitration proceedings.

If your matter concerns a dispute, any legal expenses insurance you may hold could cover certain costs incurred by you and your counterparty. Regardless of the wording of the insurance terms and the insurer's decision to fully or partially reimburse these costs, you are obliged to pay our invoices in full.

Liability and Limitation of Liability

Legato’s liability for damage caused to you through error, negligence, or breach of contract on our part is limited to an amount per engagement of SEK 3 million.

Our liability does not cover any reduction or loss of production, turnover, or profit, or other indirect or consequential damage. Our liability shall be reduced by any amount you may recover under insurance, an agreement, or an indemnity, provided that this is not inconsistent with the terms of the insurance policy, agreement, or indemnity, and that your rights under the insurance, agreement, or indemnity are not thereby restricted. Price reductions, penalties, or other remedies may not be claimed in addition to damages.

We are not liable for damage arising from your use of the result of an engagement or our advice in any context or for any purpose other than that for which it was provided. We are not liable for damage suffered by a third party as a result of you or a third party using our work product or advice. We are not liable for damage arising from circumstances beyond our control that we could not reasonably have anticipated at the time the engagement was accepted, and the consequences of which we could not reasonably have avoided or overcome.

Any claims relating to our services must be submitted to us in writing as soon as you become aware of the circumstances on which the claim is based. Claims may not be submitted later than twelve (12) months after the later of (i) the date of the last invoice for the engagement to which the claim relates, and (ii) the date on which the relevant circumstances became known to you, or should have become known to you had you made reasonable inquiries.

Personal Data

Legato is the data controller for personal data collected in connection with engagement inquiries and engagements. How, for what purposes, and for how long we process such data is set out in our privacy policy, published at www.legatoadvokat.se.

Termination of the Engagement

You may terminate the collaboration with us at any time by requesting in writing that we withdraw from the engagement. You must, however, pay for the services we have performed and the costs we have incurred prior to the termination of the engagement.

We have the right to withdraw from our engagement with immediate effect if:

●      we have the right and/or obligation to withdraw from the engagement pursuant to legislation, the Swedish Bar Association's ethical rules, or for other reasons;

●      despite a reminder, you fail to pay our invoice for this engagement or any other engagement; or

●      you become insolvent and we assess that there is a risk of not receiving payment for work performed and/or outlays incurred.

Document Management and Archiving

To facilitate the performance of our engagement, we will store documents and work product produced by us or provided by you or others in a digital system. Once an engagement has been completed or otherwise terminated, we will archive, either ourselves or through a third party, in paper or electronic form, substantially all documents accumulated or generated in the engagement. The documents will be archived for the period that, in our assessment, is warranted by the nature of the engagement, but not for a shorter period than required by law or good professional conduct.

Governing Law and Dispute Resolution

These general terms and conditions, and all other matters relating to our engagement for you, are governed by and construed in accordance with Swedish law.

Any dispute arising out of these general terms and conditions, the engagement letter, our engagement, or our advice shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce ("SCC"). The SCC Rules for Expedited Arbitrations shall apply unless the SCC, taking into account the complexity of the case, the amount in dispute, and other circumstances, determines that the SCC Arbitration Rules shall apply instead. In the latter case, the SCC shall also decide whether the arbitral tribunal shall consist of one or three arbitrators. The seat of arbitration shall be Stockholm. The language to be used in the proceedings shall be Swedish.

Notwithstanding the above, Legato is entitled to bring proceedings regarding overdue claims relating to the engagement before Stockholm district court, or to apply for a payment order (betalningsföreläggande) with the Swedish Enforcement Authority (Kronofogdemyndigheten).

Clients who are consumers may, under certain conditions, refer fee disputes and other financial claims against us to the Swedish Bar Association's Consumer Disputes Board (Konsumenttvistnämnden) for review.
